We are working on an application where you can leave reviews on restaurants.

We need an initial database of restaurants on which we can build once the app releases. I understand that we have to contribute to OSM when you modify data, but is this still the case when we download once and never use the service again?

Don't get me wrong, I don't want to use the data without crediting anyone, but is it 100% necessary to contribute once we have downloaded the initial database?

Where did you read about the necessity to contribute? Did you mean distribute?

The licence applies in perpetuity for all OSM data. If you build on and improve OSM data, you have to make those improvements available under the same licence.

I would recommend reading the full licence text at http://opendatacommons.org/licenses/odbl/1.0/ and the Community Guidelines (particularly the 'Horizontal Layers' and 'Collective Database' ones) at http://wiki.osmfoundation.org/wiki/Licence/Community_Guidelines .
